CIE Marketing – Creative & Innovative Experience

Last updated: October 2026

Section 01

Introduction

These Terms & Conditions govern the use of the website operated by CIE Marketing – Creative & Innovative Experience ("CIE Marketing", "we", "our", "us") and the services provided through it.

By accessing our website or engaging our services, you agree to be bound by these Terms & Conditions. If you do not agree, you must not use our website or services.

These Terms & Conditions apply together with any proposal, service agreement or written communication specific to your engagement. In the event of a conflict, the specific agreement prevails.

Section 02

Services

CIE Marketing provides professional digital marketing services. The four core services are:

  • The C4 Conversion System – Web Design & Development
  • Digital Advertising – Meta Ads, Google Ads, TikTok Ads
  • Social Media Management
  • Branding & Visual Identity

The specific scope, deliverables, timelines and pricing for each engagement are defined in the applicable proposal or service agreement.

2.1 The C4 Conversion System (Web Design & Development)

Payment schedule: A deposit is due upon signing; the remaining balance is due at go-live. The exact amounts are defined in the applicable proposal.

Delivery timelines: Timelines are defined per setup in the applicable proposal. The clock starts once CIE Marketing has received all required content and materials from the client.

Revisions: Each setup includes a defined number of revision rounds as stated in the proposal. Additional revisions are quoted separately.

30-Day Technical Guarantee: During the first 30 calendar days after go-live, CIE Marketing will repair, at no additional cost, any technical defect in the delivered work — including forms, booking systems, review displays, tracking and mobile/desktop rendering. This guarantee covers technical repair only; it does not apply to scope changes, design preferences or commercial results.

Continuity Plan: An optional ongoing plan is available. It includes managed Australian hosting, daily backups, security monitoring, a monthly human check, priority support, a monthly performance report and a periodic strategy session. The plan also includes exclusive bonuses as detailed in the applicable proposal.

Bonuses are exclusive to active Continuity Plan clients and are not included in full ownership payments.

Cancellation of Continuity Plan: The Continuity Plan has no lock-in. The client may cancel at any time with 7 days' written notice before the next billing date.

Website Footer Credit: All websites delivered by CIE Marketing will display a "Powered by CIE Marketing" credit in the footer. This credit may not be removed, altered or hidden while a Continuity Plan is active. Unauthorised removal will incur a penalty fee as specified in the applicable service agreement, invoiced immediately upon discovery. Upon completion of a full ownership purchase, the client may request removal of the credit in writing.

2.2 Digital Advertising (Meta Ads, Google Ads, TikTok Ads)

Initial Setup Fee: A one-off, non-refundable setup fee applies. This covers an initial research and strategy period during which CIE Marketing conducts market analysis, audience research, creative production, campaign structure and tracking configuration. Ongoing billing begins on the day campaigns go live. The fee and billing frequency are defined in the applicable proposal.

Ad spend: The client pays Meta, TikTok or Google directly. CIE Marketing does not receive, handle or mark up advertising budgets. All ad spend goes entirely to the respective platform.

Cancellation: The client may cancel at any time with 15 days' written notice before the next billing date. CIE Marketing will organise and hand over all deliverables upon cancellation. The setup fee and all payments made are non-refundable.

AI response bot (SellFlow): An AI-powered lead response bot is included in all plans on the channels defined per plan. The client acknowledges that bot responses are automated and that CIE Marketing is not liable for outcomes arising from automated interactions.

2.3 Social Media Management

Initial Setup Fee: A one-off, non-refundable setup fee applies. This covers a complete profile audit, content strategy, content pillars, tone of voice definition, profile SEO optimisation and an alignment meeting. The fee is defined in the applicable proposal.

Content approval: The client will receive all content for approval at least 48 hours before the scheduled publishing time. If the client does not respond within the 48-hour window, CIE Marketing may publish the content as submitted or defer it to the following scheduled slot, at its discretion. Substantive changes requested after approval may affect delivery timelines.

Ad boost: Plans may include a monthly paid boost of the client's best-performing organic posts. This budget is paid directly by the client to Meta. This boost is not the full-stack Digital Advertising service described in Section 2.2.

Cancellation: The client may cancel at any time with 15 days' written notice before the next billing date. The setup fee and all payments made are non-refundable.

AI response bot (SellFlow): Included in all plans on the channels defined per plan. The client acknowledges that bot responses are automated and that CIE Marketing is not liable for outcomes arising from automated interactions.

2.4 Branding & Visual Identity

CIE Marketing offers two starting points — rebranding an existing identity or building a new one from scratch — each with tiered plans as defined in the applicable proposal.

Payment: Branding services are charged as a one-time payment with no ongoing subscription. Payment terms are defined in the applicable proposal.

Revisions: Every plan includes three full rounds of revisions. Requests beyond this are quoted separately.

Delivery timelines: Timelines vary by plan and are defined in the applicable proposal.

File delivery: All final files and brand guides are delivered upon receipt of full payment. Until then, CIE Marketing retains ownership of all created materials.

Client responsibility: The client is responsible for reviewing and approving all deliverables. Once final files are delivered and the engagement is closed, additional changes are outside the original scope and quoted separately.

Section 03

No Guarantee of Results

CIE Marketing does not guarantee specific commercial outcomes, including but not limited to sales volume, number of leads, conversion rates or return on ad spend. Digital marketing results depend on factors outside our control, such as market conditions, audience behaviour, platform algorithms, budget levels and client collaboration.

The 30-day technical guarantee described in Section 2.1 applies solely to technical performance of delivered web work and does not imply any guarantee of commercial results.

Section 04

Client Responsibilities

Clients agree to:

  • Provide accurate, complete and timely information, content and approvals
  • Supply required assets (logos, copy, images, access credentials) within agreed timeframes
  • Comply with all applicable advertising platform policies and Australian law
  • Warrant that all content provided is owned by them or properly licensed
  • Maintain a compliant privacy policy on their website and comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles

Delays caused by the client may affect delivery timelines and results, and CIE Marketing will not be held liable for such impacts.

Section 05

Payments and Fees

Fees are defined in the applicable proposal or service agreement. Unless otherwise stated:

  • All fees are non-refundable once work has commenced
  • Setup fees are non-refundable under any circumstances
  • Advertising budgets are paid directly by the client to third-party platforms; CIE Marketing does not handle or mark up ad spend
  • Late payments may result in suspension of services; overdue amounts may accrue interest and reasonable debt-recovery costs
  • CIE Marketing is not currently registered for Goods and Services Tax (GST); prices do not include GST. If CIE Marketing becomes GST-registered, clients will be notified in writing and GST will be added to future invoices as required by law
Section 06

Intellectual Property

Unless otherwise agreed in writing:

  • All original materials created by CIE Marketing remain our intellectual property until full payment is received
  • Upon full payment, the client receives a licence (or full ownership, as applicable) to use the delivered materials for their intended purpose
  • CIE Marketing reserves the right to showcase delivered work for portfolio and marketing purposes
  • Websites delivered by CIE Marketing will display a "Powered by CIE Marketing" footer credit that may not be removed while a Continuity Plan is active, as described in Section 2.1
  • Some content may be produced with the assistance of artificial intelligence tools; clients are responsible for reviewing and approving all content before publication
Section 07

AI-Powered Tools

CIE Marketing may deploy AI-powered tools — including but not limited to the SellFlow bot — as part of service delivery. The client acknowledges that:

  • These tools generate automated responses and are not a substitute for human professional advice
  • CIE Marketing is not liable for outcomes arising from automated interactions
  • Conversation data processed by these tools is handled in accordance with our Privacy Policy
  • The client must ensure their own privacy policy discloses the use of AI tools and automated responses to their end users, where applicable
Section 08

Confidentiality

Both parties agree to keep confidential any non-public business, technical or strategic information shared during the engagement, unless disclosure is required by law, the information is already public, was already known without breach of confidence, or was independently developed.

Section 09

Limitation of Liability

To the maximum extent permitted by law, CIE Marketing shall not be liable for:

  • Indirect or consequential losses
  • Loss of revenue, data or profits
  • Platform outages, algorithm changes or policy updates by third-party platforms
  • Third-party actions or technical failures
  • Delays caused by the client

Our total liability shall not exceed the fees paid by the client for the specific service giving rise to the claim. These limits do not apply to liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded.

Section 10

Data Breach Notification

If a data breach affecting a client's site or hosted data occurs, CIE Marketing will notify the affected client without undue delay and cooperate in good faith with any obligations under the Notifiable Data Breaches scheme (Privacy Act 1988 (Cth)).

Section 11

Third-Party Services and Platforms

CIE Marketing may use third-party platforms, tools or services to deliver its services. CIE Marketing is not responsible for the performance, availability, pricing, policies or actions of third-party providers, including Meta, Google, TikTok or any hosting or software provider.

Section 12

Cancellation and Termination

Cancellation terms vary by service and are set out in Sections 2.1 through 2.4. In all cases:

  • Cancellation must be submitted in writing
  • Outstanding fees for work already completed remain payable upon termination
  • CIE Marketing will organise and hand over all relevant deliverables upon cancellation of ongoing services

Either party may terminate for material breach if the breach is not remedied within 14 days of written notice.

Section 13

Force Majeure

Neither party will be liable for breaches or delays caused by events beyond their reasonable control, including natural disasters, pandemics, extended platform outages, cyber attacks or armed conflict. If such an event prevents either party from performing its material obligations for more than 60 consecutive calendar days, either party may terminate the affected agreement by written notice, without penalty.

Section 14

General Provisions

Entire Agreement: These Terms & Conditions, together with any applicable proposal or service agreement, constitute the entire understanding between the parties and supersede all prior representations.

Severability: If any provision is found invalid or unenforceable, it will be severed and the remainder will continue in force.

Assignment: Clients may not assign their agreement with CIE Marketing without prior written consent. CIE Marketing may assign or subcontract its obligations.

Non-solicitation: During the engagement and for 12 months after its conclusion, the client agrees not to directly or indirectly solicit, hire or engage any CIE Marketing staff or contractors involved in delivering their service.

Dispute resolution: The parties agree to attempt resolution through good-faith negotiation before initiating formal proceedings.

Section 15

Governing Law

These Terms & Conditions are governed by the laws of Australia. Any disputes are subject to the exclusive jurisdiction of Australian courts.

Section 16

Changes to These Terms

CIE Marketing reserves the right to modify these Terms & Conditions at any time. Updated versions will be posted on this page with a revised date. Continued use of our services following any update constitutes acceptance of the revised terms.
