5. The 4C Continuity Plan — Mandatory Monthly Subscription

The Continuity Plan is not a standard hosting service. It’s what keeps your system alive, optimised, and delivering results month after month. It’s an inseparable component of the service: without the Continuity Plan, the C4 system is not active.

Investment: AUD $197/month

No uptime guarantee: CIE Marketing takes commercially reasonable steps to keep the site online 24/7, but does not guarantee uninterrupted or error-free hosting. Occasional downtime caused by scheduled maintenance, updates, or third-party infrastructure providers (data centres, DNS, payment gateways, etc.) does not constitute a breach of this Agreement.

Continuity Plan activation and billing**

The 4C Continuity Plan activates on the same day as the site go-live, once the first AUD $197 payment is confirmed. From that point on, billing runs automatically via Stripe each month on the same date as the go-live.

Setup payment method: Stripe or bank transfer.

Continuity Plan payment method: exclusively via Stripe (automatic recurring billing).

7. Implementation Timeline

Setup B go-live is achieved within 10 to 15 business days from the start of production.

8. Client Responsibilities

For the system to work correctly and the timeline to be met, the Client commits to:

  • Provide complete content (vector-format logos, copy by section, photographs at minimum 1200x800px, Google Business Profile access and any other review platform access) on Day 0. If the Client does not yet have a brand manual (colours, fonts, logo usage rules), CIE can develop one as a separate, optional service; contact CIE for details.
  • Respond to approval requests within a maximum of 48 business hours
  • Keep critical business details up to date (phone, address, business hours)
  • Keep payment method current in Stripe for the Continuity Plan
  • Maintain privacy compliance: maintain a compliant privacy policy on the website and comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles regarding any personal information collected through the site (e.g. via lead capture or booking forms). CIE Marketing is not responsible for the Client’s compliance with privacy laws in respect of data collected through the delivered site

Implementation timeline: the 10 to 15 business day timeframe starts counting from the moment CIE receives all complete materials, not from the date of signing.

Delay clause: if more than 30 calendar days pass without the Client delivering the required materials or responding to an approval request, the project will be automatically paused. To reactivate it, the Client must pay a reactivation fee of AUD $150 and the timeline will be rescheduled based on CIE Marketing’s availability.

9. Conditions and Fair Use

The Continuity Plan is designed to keep your system operating at peak performance. For the service to remain sustainable for both parties:

  • Chat support: up to 2 requests per month with response within 24–48 business hours. Monthly resources do not roll over to the following month
  • Technical maintenance limited to optimisation, security, and the original structure of the delivered site
  • Creation of new pages or features requires a separate quote (not covered by the Continuity Plan)
  • Visual design updates restricted to the 4 seasonal campaigns from Bonus 1
  • Personalised strategic consulting: 1 one-hour session within the six-monthly review
  • Bug resolution (debugs) applies only to components, plugins, and tools installed by CIE Marketing
  • Manual functionality verification (forms, booking, reviews, and tracking): 1 scheduled review per month

10. Payment and Suspension Policies

Setup (one-time payment):

  • Instalment 1 (60%) is non-refundable once production has started (Day 1)
  • Instalment 2 (40%) must be paid before go-live. Without this payment, the site will not be published

Continuity Plan (monthly subscription):

  • Billing runs automatically via Stripe each month on the go-live date
  • If the payment method is declined, the service will be suspended within 3 days of the due date
  • To reactivate the service after a suspension due to a declined payment, a 10% surcharge will be applied to the outstanding amount

11. Cancellation and Site Ownership

Total flexibility: you can cancel the Continuity Plan at any time by giving 7 days’ written notice to Support@ciemarketing.com.au.

What happens upon cancellation:

  • By default, the site is taken offline and stops being publicly accessible from the effective cancellation date
  • CIE will keep the site and its files on its servers, offline, for 30 calendar days from the cancellation date, so the Client has time to decide next steps
  • Within that 30-day window, the Client may notify CIE to either: (a) resume with a hosting-only plan, at the rate applicable at that time, which brings the site back online without the monthly checks, reports, support and bonuses of the Continuity Plan, or (b) request the full site package delivery (all site files + backup copy) for a one-time fee, at the rate applicable at that time, to move it to another hosting provider. Hosting plans, terms, and pricing are subject to change and can be reviewed with CIE at the time of request.
  • If the Client does not notify CIE of either choice within the 30-day window, the site and its files will be permanently deleted from CIE’s servers, with no further recovery possible. CIE will send the Client a written reminder at least 5 calendar days before this deadline
  • The exclusive Continuity Plan bonuses are deactivated along with the plan

Client’s right to terminate for cause: in addition to the cancellation terms above, the Client may terminate this Agreement immediately and without penalty if CIE Marketing materially breaches its obligations under this Agreement (for example, an extended service outage) and fails to remedy that breach within 14 calendar days of receiving written notice.

Important: while the Continuity Plan is active, the site operates on CIE Marketing’s infrastructure. The service does not include source code delivery by default; this delivery corresponds to the migration process described above.

12. Exclusions (What's NOT Included)

The C4 System is exclusively optimised for the conversion infrastructure of the website. The following are out of scope of both Setup B and the Continuity Plan:

  • Marketing and traffic: social media management, paid advertising management, and SEO content / blogging
  • Complex functionalities: e-commerce platforms, patient or client portals, custom integrations with external systems (third-party CRMs, ERPs, etc.)
  • Content production: extensive copywriting, professional photography sessions, video production
  • Commercial results guarantee: sales volume, lead quantity, or traffic metrics

Any request that exceeds the scope described will be presented as a separate proposal and no work will start without formal approval and prior payment. Clients with an active Continuity Plan receive up to 15% preferred discount on additional contracted services.

13. Disclaimer

13.1 Commercial results: CIE Marketing does not guarantee specific commercial results (sales, leads, or traffic). The service delivers an optimised technical tool to be used within the Client’s commercial strategy. The C4 System is designed to convert existing traffic, not to generate it.

13.2 Traffic generation: to generate new traffic, SEO content services or paid advertising are required, which are quoted separately.

13.3 Refunds: Setup instalments that have been paid and executed are non-refundable. The Client acknowledges that the nature of the service (custom technical development) means that resources allocated to the project cannot be recovered once production has started.

13.4 .com domain:** the .com domain included in the Setup covers up to USD $50 in cost. If the Client wishes to acquire a domain priced above that amount, the difference will be covered by the Client. If the Client already owns a domain, the USD $50 allowance is not deducted or refunded in any form; it simply forms part of what a new Setup includes, and CIE will connect the Client’s existing domain at no extra charge.

13.5 Business email: the Continuity Plan hosting includes basic email addresses on the Client’s domain (e.g. info@yourbusiness.com), which is not equivalent to a full inbox service such as Gmail or Outlook. If the Client wants business email through Google Workspace or Microsoft 365, the Client purchases that service directly from the provider, and CIE will assist with connection and configuration at no extra cost, provided the Continuity Plan remains active.

13.6 GST: CIE Marketing is not currently registered for Goods and Services Tax (GST), and the prices in this Agreement do not include GST. If CIE Marketing becomes registered for GST at any point during the term of this Agreement, the Client will be notified in writing, and GST will be added to future invoices as required by law – including the monthly Continuity Plan fee – from the effective date of that registration.

13.7 Client content and legality: the Client warrants that all logos, copy, images, reviews, and other materials it provides are either owned by the Client or properly licensed for use on the site, and that the Client’s products, services, and business operations are lawful. CIE Marketing is not responsible or liable for any claim, loss, or damage arising from a breach of this warranty, including third-party intellectual property claims or claims relating to the legality of the Client’s business.

13.8 Third-party platform compliance: the Client must use reviews and third-party integrations (e.g. Google Business Profile, booking platforms) in compliance with each platform’s own policies. CIE Marketing is not responsible for any penalty, suspension, or removal applied by a third-party platform as a result of the Client’s use of the site or its review collection practices.

13.9 Data breach notification: if a data breach affecting the Client’s site or hosted data occurs, CIE Marketing will notify the Client without undue delay and cooperate in good faith with any obligations arising under the Notifiable Data Breaches scheme (Privacy Act 1988 (Cth)). This clause does not make CIE Marketing responsible for breaches caused by third-party infrastructure providers or by the Client’s own systems.

13.10 AI-assisted content: some copy, images, or other content delivered as part of the service may be produced with the assistance of artificial intelligence tools. The Client is responsible for reviewing and approving all content before publication, and CIE Marketing does not warrant the factual accuracy of AI-assisted content beyond what the Client has approved.

14. Intellectual Property and Confidentiality

14.1 Client materials: logos, copy, images, and any other materials provided by the Client are and remain the property of the Client.

14.2 C4 System and methodology: The 4C Conversion System methodology, its base templates, technical configurations, infrastructure code, and proprietary tools are the exclusive property of CIE Marketing and are not transferred upon site delivery.

14.3 Delivered site: the visual design and structure of the site delivered to the Client remain available for the Client’s use while the Continuity Plan is active. Site migration to an external provider is governed by clause 11.

14.4 Mutual confidentiality: both parties commit to keeping confidential all commercial, technical, financial, or strategic information exchanged during the contractual relationship. This obligation does not apply to information that is already public, was already known to the receiving party without breach of confidence, is independently developed, or must be disclosed by law.

14.5 Use as a case study: CIE Marketing may use the Client’s name, logo, and URL as a commercial reference (portfolio, social media, proposals), unless the Client requests otherwise in writing.

14.6 Footer credit: the delivered site will display a “Made by CIE Marketing” credit in the footer. This credit may not be removed under any circumstances while the Continuity Plan is active, unless the Client purchases the full site package delivery (source files and backup copy) for the one-time fee referred to in clause 11, at which point the credit may be removed as part of that migration.

15. Limitation of Liability

CIE Marketing will not be liable for:

  • Commercial losses, loss of profit, or indirect damages arising from the use or inability to use the site
  • Modifications made by the Client or third parties that affect the operation of the delivered system
  • Changes in external platform policies (Google, social media, search engines) that affect the visibility or functionality of the site

CIE Marketing’s total aggregate liability to the Client, for any and all claims arising from or in connection with this Agreement, is capped as follows: (a) for claims relating to the Setup, at the total Setup fee paid by the Client, being AUD $1,100; and (b) for claims relating to the Continuity Plan, at AUD $197, being the value of one month’s Continuity Plan fee. These caps do not apply to, and nothing in this Agreement excludes or limits, liability for fraud, wilful misconduct, or gross negligence, for death or personal injury caused by negligence, or for any guarantee, right, or remedy under the Australian Consumer Law that cannot lawfully be excluded, restricted, or modified (see clause 15.1).

15.1 Australian Consumer Law: Nothing in this Agreement excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on the Client under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded, restricted, or modified. To the extent permitted by law, CIE Marketing’s liability for failing to comply with a consumer guarantee is limited, at CIE Marketing’s option, to re-supplying the service or paying the cost of having the service re-supplied.

16. Force Majeure

Neither party will be liable for breaches or delays in meeting their obligations when these are caused by events beyond their reasonable control, including but not limited to:

  • Natural disasters (earthquakes, floods, fires)
  • Pandemics, health emergencies, or government decisions that prevent normal operations
  • Extended power or internet service outages
  • Failures or downtime of external infrastructure providers (servers, payment platforms, search engines)
  • Cyber attacks, intrusions, or zero-day vulnerabilities
  • Armed conflict, acts of terrorism, or civil unrest

In a force majeure event, the affected party will notify the other party in writing as soon as reasonably possible and both parties will agree in good faith on the necessary adjustments to the timeline or scope of service.

If a force majeure event prevents either party from performing its material obligations for more than 60 consecutive calendar days, either party may terminate this Agreement by written notice, without penalty, and CIE Marketing will refund any fees paid for services not yet delivered.

17. Amendments to the Agreement

Any amendment to the terms of this agreement — scope changes, timeline adjustments, addition of services, changes to investment or payment terms — must be made through a written addendum signed by both parties.

Amendment requests must be sent in writing to Support@ciemarketing.com.au and clearly state the change being requested.

No verbal agreement, informal message, or communication through non-official channels will be valid to amend this contract.

18. Dispute Resolution and Official Communication

18.1 Resolution of differences: any difference that arises between the parties will be resolved first through direct, good-faith dialogue within 30 days following written notice of the conflict.

If no agreement is reached, the parties submit to the jurisdiction of the competent courts of the State of Victoria, Australia, and to the applicable Australian legal framework.

18.2 Official communication channel: all official communication related to this agreement — including cancellations, claims, scope change requests, formal notices, and contractual approvals — must be made in writing to Support@ciemarketing.com.au.

Communications via WhatsApp, social media, phone calls, or other informal channels are not considered binding for contractual purposes and are used exclusively for day-to-day operational coordination.

19. Term

This agreement comes into force on the signing date stated above and remains in force while the Continuity Plan is active. Cancellation of the Continuity Plan is governed by clause 11.

The signing of this document implies the full and unconditional acceptance of all clauses described herein.

20. General Provisions

20.1 Entire Agreement: this Agreement constitutes the entire understanding between the parties regarding its subject matter and supersedes all prior verbal or written representations, discussions, or proposals. No representation not contained in this Agreement will have any legal effect.

20.2 Severability: if any provision of this Agreement is found by a court or tribunal to be invalid, illegal, or unenforceable, that provision will be severed and the remainder of the Agreement will continue in full force and effect.

20.3 Assignment: the Client may not assign, transfer, or novate this Agreement to any third party without CIE Marketing’s prior written consent. CIE Marketing may assign this Agreement, or subcontract any part of the service, without requiring the Client’s consent, provided service quality is maintained.

20.4 Interest on overdue payments: without limiting clause 10, any amount not paid by its due date will accrue interest at 2% per month (or part thereof) until paid, and the Client will be responsible for reasonable debt-recovery costs, including collection agency fees and legal costs, incurred by CIE Marketing in recovering overdue amounts.

20.5 Non-solicitation: during the term of this Agreement and for 12 months after its termination, the Client will not directly or indirectly solicit, engage, or hire any employee or contractor of CIE Marketing who was involved in delivering the service, without CIE Marketing’s prior written consent.

During the first 30 days after go-live, if you find any technical defect in what we built — a form that doesn’t send, reviews that don’t load, tracking that doesn’t register, errors in how the site looks on mobile or desktop — we fix it at no extra cost.

No fine print. No excuses. No extra charges.

Your site has to work the way we promised from day one. And if something breaks, it’s our responsibility to fix it.

This guarantee applies exclusively as no-cost technical repair, and does not include refund of the Setup paid. It covers defects in the development carried out by CIE Marketing and does not cover changes requested to design, content, or structure not originally scoped, modifications made by the Client or third parties, nor commercial results (lead count, sales, or traffic).
