Terms & Conditions
1. Introduction
These Terms & Conditions govern the use of the website operated by CIE Marketing – Creative & Innovative Experience (“CIE Marketing”, “we”, “our”, “us”) and the services provided through it.
By accessing this website or engaging our services, you agree to be bound by these Terms & Conditions. If you do not agree, you must not use our website or services.
2. Services
CIE Marketing provides professional digital marketing services, including but not limited to:
- Digital Advertising (Meta Ads, Google Ads, TikTok Ads)
- Social Media Management
- Web Design & Development
- Brand Strategy and Consulting
The specific scope, deliverables, timelines, and pricing of services will be defined in individual proposals, agreements, or written communications.
2.1 Setup A and Setup B – The C4 Conversion System

Each Setup has its own specific terms, deliverables, and conditions, which apply in addition to these general Terms & Conditions.
3. No Guarantee of Results
CIE Marketing does not guarantee specific outcomes, including but not limited to:
- Sales volume
- Number of leads
- Conversion rates
- Return on ad spend (ROAS)
Digital marketing results depend on multiple factors beyond our control, such as market conditions, audience behavior, platform algorithms, budget, and client collaboration.
4. Client Responsibilities
Clients agree to:
- Provide accurate and complete information
- Supply required content, approvals, and assets in a timely manner
- Comply with advertising platform policies and applicable laws
- Assume responsibility for the legality of their products or services, and warrant that any content they provide (logos, copy, images, reviews) is owned by them or properly licensed
- Maintain a compliant privacy policy on their website and comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles in respect of personal information collected through their site
Delays caused by the client may impact timelines and results.
5. Payments and Fees
Fees for services are defined in proposals or agreements.
Unless otherwise stated:
- All fees are non-refundable once work has commenced
- Advertising budgets are paid directly by the client to third-party platforms
- Late payments may result in suspension of services, and overdue amounts may accrue interest and reasonable debt-recovery costs
- CIE Marketing is not currently registered for Goods and Services Tax (GST), and prices do not include GST. If CIE Marketing becomes registered for GST, clients will be notified in writing and GST will be added to future invoices as required by law
6. Intellectual Property
Unless otherwise agreed in writing:
- All original materials created by CIE Marketing remain our intellectual property until full payment is received
- Upon payment, the client receives a license to use the delivered materials for their intended purpose
- CIE Marketing reserves the right to showcase work for portfolio and marketing purposes
- Websites delivered by CIE Marketing will display a “Made by CIE Marketing” credit in the footer, which may not be removed under any circumstances while the relevant hosting/continuity service is active, unless the client purchases the full site package delivery under the applicable service agreement
- Some copy, images, or other content may be produced with the assistance of artificial intelligence tools; clients are responsible for reviewing and approving all content before publication
7. Confidentiality
Both parties agree to keep confidential any non-public business, technical, or strategic information shared during the engagement, unless disclosure is required by law, the information is already public, was already known without breach of confidence, or is independently developed.
8. Limitation of Liability
To the maximum extent permitted by law, CIE Marketing shall not be liable for:
- Indirect or consequential losses
- Loss of revenue, data, or profits
- Platform outages or algorithm changes
- Third-party actions or technical failures
- Occasional downtime caused by scheduled maintenance or third-party infrastructure providers
Our total liability shall not exceed the fees paid by the client for the specific service giving rise to the claim, as further specified in the applicable service agreement. These limits do not apply to liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any guarantee, right, or remedy under the Australian Consumer Law that cannot lawfully be excluded, restricted, or modified.
9. Data Breach Notification
If a data breach affecting a client’s site or hosted data occurs, CIE Marketing will notify the affected client without undue delay and cooperate in good faith with any obligations arising under the Notifiable Data Breaches scheme (Privacy Act 1988 (Cth)).
10. Third-Party Services
We may use third-party platforms, tools, or services. CIE Marketing is not responsible for the performance, policies, or actions of third-party providers.
11. Termination
Either party may terminate services in accordance with the terms set out in the applicable agreement or proposal.
Outstanding fees for work completed remain payable upon termination.
12. Force Majeure
Neither party will be liable for breaches or delays caused by events beyond their reasonable control (natural disasters, pandemics, extended service outages, cyber attacks, armed conflict, etc.). If such an event prevents either party from performing its material obligations for more than 60 consecutive calendar days, either party may terminate the affected agreement by written notice, without penalty.
13. General Provisions
- Entire Agreement: these Terms & Conditions, together with any applicable proposal or service agreement, constitute the entire understanding between the parties and supersede prior verbal or written representations.
- Severability: if any provision is found invalid or unenforceable, it will be severed and the remainder will continue in force.
- Assignment: clients may not assign their agreement with CIE Marketing without our prior written consent; CIE Marketing may assign or subcontract its obligations.
- Non-solicitation: clients agree not to directly or indirectly solicit or hire CIE Marketing staff or contractors involved in delivering their service, during the engagement and for 12 months after.
14. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of Australia. Any disputes shall be subject to the exclusive jurisdiction of Australian courts.
15. Changes to These Terms
CIE Marketing reserves the right to modify these Terms & Conditions at any time. Updated versions will be posted on this page.
